Terms & Conditions

1. Scope of Services

NatureChain (“Provider”) agrees to source and supply products (including uniforms, towels, and merchandise) to the Client. Services include supplier negotiation, quality control, and delivery coordination.

 

2. Fees and Payment

• Pricing Basis: The Client will be invoiced on a per-unit basis, calculated by multiplying the agreed per-unit price by the order quantity. The per-unit price includes NatureChain’s service fee.

• Payment Terms: Unless otherwise agreed in writing, the Client must pay 50% of the total order value upon confirmation, with the remaining 50% due prior to shipment dispatch.

• Invoice Due Date: All invoices must be paid within 7 days of issue.Late Payments: Late payments may incur interest at 10% per month.

 

3. NatureChain Responsibilities

NatureChain will use reasonable skill and care in sourcing and supplying products that align with the Client’s specifications, approved samples, and requirements as agreed in writing. While NatureChain coordinates supplier negotiations, quality inspections, and delivery logistics, the Client acknowledges that factors such as shipping delays, customs clearance, or third-party supplier issues are outside NatureChain’s direct control.

 

4. Quality Control

NatureChain ensures that products conform to approved pre-production samples. A third-party inspection will be conducted at the manufacturing facility before final shipment. The final balance payment to the supplier is only released once inspection confirms conformity. If inspection identifies material non-conformities, corrective action will be required before shipment proceeds. This process helps protect the Client by ensuring bulk production matches the approved sample. Minor variations within normal industry tolerance may occur.

 

5. Client Responsibilities

The Client agrees to provide accurate product specifications, delivery address, and special requirements prior to order confirmation.

 

6. Liability

NatureChain is not liable for delays, transit damage, customs issues, or factors outside its control. Liability is limited to the value of the service fee charged on the specific order in dispute.

 

7. Termination

Either party may terminate this Agreement with 14 days’ written notice, provided no active orders are in progress.

 

8. Governing Law

This Agreement shall be governed by the laws of Queensland, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Queensland..
